Our client is seeking a bright, commercially minded Junior Legal Counsel to join its growing London-based legal team, with a focus on corporate law, M&A, and transactional matters. This is a unique opportunity for a solicitor to step into a dynamic, international business involved in cutting-edge sectors.
The Role:
Reporting directly to the General Counsel, you will support the company’s strategic corporate initiatives, including M&A transactions, joint ventures, corporate structuring, and investment projects. This role offers high-quality exposure to cross-border deals and corporate governance in a fast-moving, high-growth environment.
Key Responsibilities:
- Assist in the execution of M&A transactions, including due diligence, drafting of transaction documents, and deal structuring.
- Support on corporate governance, company secretarial matters, and group restructuring initiatives.
- Liaise with internal stakeholders and external counsel on strategic investments and joint ventures.
- Advise on legal risks and corporate compliance issues related to corporate activity.
- Draft and negotiate shareholder agreements, NDAs, and other corporate documents.
The Ideal Candidate:
- UK-qualified solicitor (1-3 PQE), with a seat or experience in Corporate or M&A.
- Trained at a top-tier law firm or within a strong in-house legal function.
- Solid understanding of company law, corporate transactions, and corporate governance.
- Strong drafting skills, commercial acumen, and attention to detail.
- A proactive, solutions-driven team player with a strong interest in working in-house in a high-tech, global business.
