The Corporate Secretarial & Operations Manager is accountable for corporate governance and statutory compliance across WTT’s relevant entities, including the end-to-end coordination of Board/Company meetings, maintenance of corporate records, and execution of filings, resolutions and other corporate actions. The role also provides operational oversight to ensure efficient day-to-day office administration and cross-functional delivery, partnering closely with Finance, Legal and HR to strengthen controls, documentation standards, and overall business continuity.

RESPONSIBILITIES

  • CORPORATE SECRETARIAL & GOVERNANCE
    • Ensure compliance with statutory and regulatory requirements, including filings with relevant authorities and record keeping.
    • Prepare, advise on, and/or manage relevant documentations and reports, such as agenda, resolutions, minutes for Board meetings and general meetings, shareholders agreement and constitution, and share-related matters (e.g. allotment and transfer).
    • Manage operations relating to Board and/or company meetings and related matters.
    • Collaborate with relevant departments (e.g. Finance, Legal, CEO Office and Events) and external stakeholders (e.g. directors, shareholders and professional services firms) as necessary.
  • ENTITY & OFFICE MANAGEMENT
    • Collaborate with Finance and Legal in managing various subsidiaries and ensuring corporate compliance.
    • Manage access to the office premises and maintain a comfortable and effective working environment and pleasant experience for visitors.
    • Collaborate with relevant departments (e.g. IT and HR) and manage relevant vendors (such as delivery, maintenance, office IT services), as required for office upkeep.
    • Liaise with building management for office matters (e.g. fire drills and building activities).
  • OPERATIONS SUPPORT
    • Manage administrative matters and provide support to Operations and other relevant departments, such as KPI/management reportings and meetings, drafting and reviewing standard documents, and managing operational know-how.
    • Partner with HR with standard employment processes, such as payroll, insurance, employee CPF contributions and individual tax filings (IRAS).
    • Perform such other general administrative and operational duties required by the Executive Director, Operations & Strategy.

REQUIREMENTS

ESSENTIALS:

  • At least 7 years working experience in corporate secretarial field.
  • Strong knowledge of typical corporate secretarial work for private company, such as drafting relevant documents (e.g. meeting minutes and resolutions), handling statutory filings and maintaining statutory records.
  • Qualification and membership with relevant professional body, such as ISCA or CSIS.
  • Experience in stakeholder relations, including working with senior personnel such as senior management, directors and shareholder representatives.
  • Meticulous, proactive and discreet in handling strategic and confidential matters.

DESIRABLES:

  • Experience in managing corporate secretarial matters in jurisdictions outside Singapore, including Europe, US and APAC.
  • Experience in finance or legal operations (such as invoicing and payment processes, contract management, or trademark management).
  • Working level capability in Chinese to communicate with Chinese director and shareholder representatives.
  • Relevant and recognised degree or diploma (such as accountancy, finance or law) or such other relevant qualification e.g. ACCA.
  • Experience in a startup or growth company (such as Seed / Series A stage company) and/or the sport, media or entertainment industry.
