This position will work closely with attorneys on private and public companies and reports directly to the Office Manager.Responsibilities:Prepare routine corporate documents, such as incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreementsProcess share and option administration, including drafting agreements, and preparing reportsManage capitalization processes and records in equity management platformsPrepare and manage corporate filingsAssist on venture capital financings, debt financings, mergers, acquisitions, and public offeringsHandle correspondence to clients, holders, directors, and investorsHandle due diligence and closing processesHandle daily corporate maintenance workAssist with year-end matters and notices to clientsOrganize client records and maintain filesInput time entry dailyQualifications:Education: Legal background with either LLB or CILEX qualificationPrior experience as corporate paralegalStrong working knowledge of corporate tasksExperience with UK and/or US corporate lawsExperience in capitalization management platforms such as Shareworks and CartaExperience with DocuSign platform.Excellent computer proficiency (MS Office – Word, Excel and Outlook)Proficient with Excel spreadsheetsDetail-oriented and organized, with excellent analytical skillsExcellent verbal and written communication skills, including ability to effectively communicate with internal team members and clientsMust be able to work under pressure and meet deadlinesAbility to work independently and to carry out assignments to completion within parameters of instructions given, prescribed routines, and standard accepted practicesWe offer a highly competitive salary and benefits package.
