We’re hiring a Corporate Compliance Officer to support statutory compliance and corporate filings for a portfolio of UK companies (with occasional non‑UK filings). The role focuses on Companies House submissions, share capital and shareholder changes, and maintaining high‑quality statutory records. You’ll work closely with colleagues and clients to ensure corporate actions are documented correctly, filed on time, and recorded accurately. For the right person, there is also scope to broaden into related areas across Tax and Small Business workstreams over time.
Key Responsibilities
- Companies House & statutory compliance
- Prepare and submit routine and event‑driven Companies House filings, ensuring accuracy and deadlines are met.
- Draft and coordinate supporting documentation such as written resolutions and related records.
- Maintain statutory registers and internal compliance trackers to a high standard (clear audit trail, version control, signed copies stored correctly).
- Share Capital & Shareholder Administration (essential Focus)
- Support share‑related corporate actions including share transfers, allotments, buybacks/cancellations, share splits/reorganisations and new share classes.
- Prepare and file relevant forms (e.g., SH01, SH03, SH06, SH08) and ensure registers/cap tables reflect the changes.
- Produce and maintain share capital tables and group structure/organisation charts as required.
- Prepare shareholder documents such as dividend vouchers when needed.
- Venture capital and employee scheme support
- Support compliance processes for EIS/SEIS (including Advanced Assurance and/or EIS1/SEIS1 where applicable).
- Assist with employee equity scheme administration and reporting (e.g., EMI, ERS) and related submissions/documentation (including Val231 support).
- Additional Filings & Ad‑hoc Compliance
- Assist with specialist registrations and occasional one‑off filings (e.g., wholesaler/alcohol‑related registrations where relevant).
- Coordinate overseas filings by liaising with local agents/advisers and keeping internal records aligned.
Person specification
- Essential
- Hands‑on experience with Companies House filings, specifically involving share capital events (e.g., allotments/transfers and related updates to registers/cap tables).
- Organised and reliable with deadlines; comfortable managing multiple tasks at once.
- Clear written communication and ability to liaise with clients/colleagues professionally.
- Good working knowledge of Microsoft Office (particularly Word and Excel).
- Desirable
- Exposure to EIS/SEIS submissions (Advanced Assurance and/or EIS1/SEIS1).
- Experience supporting EMI/ERS reporting or similar compliance work.
- Experience drafting or updating articles of association and special resolutions (with supervision/templates).
- Familiarity with non‑UK jurisdiction filings.
