My client, a leading Investment Management firm, is seeking an experienced Legal Advisor to join its legal team.

Essential Requirements:

  • Qualified Solicitor in England & Wales
  • Experience within financial services, investment management, asset management, or a regulated environment
  • Strong commercial and corporate legal drafting and negotiation skills

Key Responsibilities:

  • Draft, negotiate, and review legal documentation relating to acquisitions and strategic projects, including share purchase agreements, asset sale agreements, loan agreements, security agreements, share option arrangements, and SPV structures.
  • Draft, negotiate, and review a broad range of commercial agreements, including investment management agreements, distribution agreements, trading agreements, data-related contracts, supplier agreements, NDAs, and corporate partnership agreements.
  • Manage relationships with external legal counsel on litigation and complex legal matters, acting as the key point of contact and coordinating stakeholder communications.
  • Provide pragmatic and commercially focused legal advice on risk, liability, and strategic business decisions.
  • Identify and mitigate legal risks across the business, including intellectual property, data privacy, cybersecurity, and third-party management.
  • Conduct legal research and analysis on complex issues impacting business operations and regulatory obligations.
  • Draft and amend agreements relating to UK, Guernsey, and Luxembourg fund structures.
  • Review and advise on offering memorandums, prospectuses, regulatory filings, and other legal documentation.
  • Monitor legal and regulatory developments and advise on their potential impact on the business.
  • Support the development and delivery of internal legal training and knowledge-sharing initiatives.
  • Assist with policy drafting and review in partnership with compliance teams.
  • Maintain legal precedents, guidance notes, and internal knowledge resources.
  • Collaborate with business units across the organisation to provide legal support and guidance.
  • Support communication and coordination between UK and international legal teams.
