This role offers exposure to a market-leading, execution-focused private funds platform, advising sophisticated sponsors on core fund formation and a wide-ranging funds lifecycle practice, including GP-level and strategic transactions. The team is known for handling complex, high-value mandates for premier private equity, growth, credit, infrastructure and special situations sponsors.

The Role

The successful candidate will play an integral role in advising sponsors on:

  • Core private funds formation, including the establishment and structuring of private equity, credit, growth, infrastructure and hybrid vehicles
  • Sponsor-side execution, acting as a lead associate on fundraises from first close through final close
  • Carried interest and incentive arrangements, including bespoke carry, co-investment and executive participation structures
  • Secondaries transactions, including GP-led restructurings, continuation vehicles and liquidity solutions
  • GP-level and sponsor transactions, such as GP stake sales, strategic investments, spin-outs and internal reorganisations
  • Ongoing fund lifecycle matters, including amendments, investor negotiations, regulatory structuring considerations and strategic advice

The role is hands-on and responsibility-driven, with associates expected to run workstreams, manage junior lawyers, and liaise directly with clients.

  • Typically 4–7 PQE (flexible for strong candidates)
  • Strong sponsor-side private funds experience gained at a leading US, Magic Circle or top-tier international firm
  • Proven exposure to fund formation and fundraising, with experience across carry and GP-level matters strongly preferred
