Associates in our London tax team cover a range of varied and fast-paced mandates, handling a wide range of cross-border transactional and advisory matters for private equity houses, financial institutions, multinational companies, and sovereign wealth funds. From the moment you join, you will be given significant responsibility and will work closely with partners and clients alike.
Position Summary
We are looking for a Tax associate with an interest or focus on investment funds to join our London office. Accordingly, we are looking for an associate who has strong experience in the taxation of private investment funds. Whilst there is a preference for a bias towards limited partner work, we would be interested in candidates with a majority of general partner experience. Further, we would also be interested in candidates who wish to retain a wider exposure to non-funds work (for example, private equity or M&A transactional work).
Excited by the challenge of developing and implementing complex tax structures, you should combine an eye for detail with the creativity and confidence to devise innovative solutions. Given the rapid pace of our practice, you will need to be highly organized—comfortable meeting tight deadlines, managing multiple workstreams, and producing flawless tax analyses in a timely fashion.
Both oral and written communication skills will be major assets—enabling you to convey complex information to colleagues and clients in a way that is clear and succinct. A team player with a global mindset, you should be excited by the opportunity to work alongside lawyers across the firm’s international offices and practices.
Self-motivated, you will need to display a willingness to take ownership of projects and a proactive, entrepreneurial mindset that allows you to anticipate clients’ needs and independently develop tax-efficient solutions that fit their businesses.
Duties and Accountabilities
- Working with the Global Investment Funds team on a range of private investment funds mandates
- Drafting of basic agreements (according to model documents), powers of attorney, draft resolutions of General Meetings, waivers of appeal, various statements
- Communication with clients (via telephone, E-mail)
- Assisting clients with corporate establishment, registration, transformation, governance, and liquidation
- Conducting research and analysis
- Drafting legal memoranda on a broad range of topics arising under commercial law and corporate and labor law precedents
- Providing direct assistance to senior lawyers on matters arising in the course of day-to-day provision of legal services to leading international and domestic corporate clients
- Joining educational seminars and practice groups
- Drafting of all types of corporate documents required for organization of all types of companies or for adoption of changes to companies (e.g. change of business name, registered office, statutory body, etc.) and subsequent registration thereof in Commercial Register (i.e. powers of attorney, statements, decisions, simple draft agreements), drafting of motions for entry of changes in entries of companies in Commercial Register, completion of schedules to such motions
