The company commenced trading on 1 October 2014 and has experienced rapid growth since inception, now operating across multiple locations in the UK and Europe. They provide SPV management services across 27 asset classes, building on initial capability across education and healthcare, and now active across many additional social infrastructure sectors, street lighting, renewables and environmental services. The company has over £4bn of assets under management across 200+ contracts. Services are delivered by a multi-disciplined team of over 200 people, and the company generates an annual turnover in excess of £28m. The business anticipates further growth in the coming years, with existing engagements under long‑term contracts and visibility of a healthy pipeline of additional contracts.

Role Overview

The primary focus of the role is to ensure that the scope of services within the Management Services Agreement (MSA) are performed and that the obligations of the investment vehicle (Special Purpose Vehicle (SPV)) are discharged.

Principal Responsibilities

  • General Management: Provide general management, operations management and compliance monitoring services to the SPV. Seek to act in the best interests of the SPV in dealings with the Client and the SPVs supply chain (the Project Participants). Attend meetings upon reasonable notice (as reasonably requested by the Shareholders, the SPV or the Client) related to the provision of the Project (including acting as the Project Company Representative). Develop and maintain a good working knowledge of the Project Documents. Carry out the resolutions, decisions and directions of the directors in relation to the SPV in general, and without prejudice to the generality of the foregoing, carry out matters as directed in connection with decisions made under the Shareholders' Agreement.
  • Operations Management: Monitor the planned and reactive maintenance activities, through a combination of site visits and review of information provided by the SPV supply chain. Procure on behalf of the SPV any ad-hoc technical expertise that may be required. Arrange periodic health and safety assurance audits. Monitor and report on health and safety matters. Identify, evaluate and manage Project risks, periodically reporting against the same to the SPV. Lead on the management, agreement, reporting and delivery of Project variations, including securing any relevant approvals. Maintain a register of project issues and work with the Project Participants to progress them to conclusion, periodically reporting against the same to the SPV. Use reasonable endeavours to ensure compliance with, and to manage the SPVs obligations under, the Project Documents. Arrange, review and maintain the operational insurances, including insurance reinstatement valuations. Review and challenge the lifecycle planning and asset management proposals received from the SPVs supply chain. Develop and maintain a schedule of contract deliverable and prepare a project calendar to ensure that all deliverables are forecast, periodically reporting against the same to the SPV.
  • Policies & Procedures: Develop and implement all policies and procedures required by the SPV, including those required under the Shareholders' Agreement; and seek to ensure compliance by the SPV with all agreed policies. Develop and implement procedures for routine communications between the Project Participants; the monitoring of Project processes; and the communication of serious untoward incidents or accidents. Develop and maintain a Business Continuity Plan, in accordance with the Project Documents.
  • Stakeholder Management: Monitor the performance of the SPVs supply chain, and their compliance with their sub‑contract. Monitor the development, implementation and operation of the SPV supply chains policies and procedures associated with delivery of services in order to meet the requirements of the Project Documents. Receive and review monthly performance reports from the SPVs supply chain; prepare the required reports for the Client in support of the monthly invoice; attend progress meetings with the SPVs supply chain and Client, and manage any shortfalls in performance. Develop effective working relationships with all Project Participants. Attend any good faith discussions between the Project Participants to mitigate or resolve potential disputes.
  • Handling Information: Develop and implement reporting formats for all reports; develop and agree the format, programme and standard agendas for performance review meetings; develop and agree records management systems; develop and implement procedures for authorisation and commitment of expenditure, including payments to the SPVs supply chain. Advise and liaise with the SPV directors on all matters as appropriate; develop and agree the format of management reports to the board; develop and maintain project risk management and reporting procedures. Prepare the information to be provided by the SPV pursuant to the Project Documents. Provide such further information as any Shareholder may reasonably require, relating to the business, affairs and financial position of the SPV.
  • Commercial Support: Provide commercial support to the SPV in relation to matters arising in the ordinary course of the SPVs business, including interpretation of the payment mechanism, evaluating deductions and performance against contractual standards.
  • Ad‑hoc Duties: Carry out such additional duties as may be required by EMS from time to time.
