We’re looking for a proactive Assistant Company Secretary to support the delivery of high-quality governance and company secretarial services across a Lloyd’s Syndicate. Working closely with the Company Secretary, you’ll play a key role in supporting the Board and Management Committees, ensuring compliance with the Companies Act, the UK Corporate Governance Code and wider regulatory requirements. This is a great opportunity for a detail-oriented governance professional to further develop their expertise in a collaborative and forward-thinking environment.
Key Responsibilities
- Support administration and governance of the Board and Management Committees
- Prepare agendas; coordinate and distribute Board and Committee packs
- Draft accurate minutes; maintain action logs and governance calendars
- Assist with Committee effectiveness reviews
- Draft and review governance documentation (e.g. Terms of Reference, Board Charters)
- Ensure statutory compliance (including Companies House filings and maintaining registers)
- Support Group policy governance and document control
- Contribute to governance reporting (including Annual Report & Accounts)
- Manage third-party governance providers; monitor service delivery
- Coordinate KYC, due diligence, and audit requests within required timelines
Essential Experience
- 4+ years experience in a Company Secretariat or corporate governance role within the insurance industry
- Strong understanding of the Companies Act and UK Corporate Governance Code
Desirable
- CGI qualification (or working towards)
- Experience with Diligent Entities/Boards or similar systems
