This important and dynamic role will involve a broad range of general company secretarial duties with regular exposure to senior stakeholders in the business, ownership of projects and participation in transactions. The role calls for a confident and upbeat self-starter with an excellent understanding of corporate governance and company law. The role will encourage you to think creatively and proactively to offer both ideas and solutions to support the needs of the team and the wider business.
The day-to-day responsibilities may include:
- Interaction with the boards of the subsidiary group
- Working in collaboration with cross-functional teams and external auditors to implement the end-to-end annual subsidiary accounts process
- Handling a portfolio of UK and international companies to ensure activities are carried out in accordance with the best standards in governance and local laws and undertaking filings
- Coordinating the issuance of powers of attorney and other legal documentation and notary requests
- Maintaining statutory records within our entity management database
- Working with the finance, tax and wider teams to complete restructuring and entity rationalisation tasks, including drafting documentation for the transfer of shares, share issuances, capital reductions, intercompany financing arrangements and due diligence
- Planning, organising and attending subsidiary board meetings, and preparing minutes and other ancillary documents
- Collaborating closely with corporate secretarial services providers, lawyers, notaries and other professional advisors and ensuring purchase orders are raised appropriately and invoices checked and forwarded for payment as required
- Responding to ad hoc queries from international businesses and third-party service providers
- Maintaining UBO registers and responding to KYC requests
What you'll need:
- Proven knowledge of company law and governance requirements, ideally with a company secretary qualification or equivalent.
- Strong project management, planning and organisational skills.
- Excellent written and verbal communication skills, with strong attention to detail.
