Vertex Associates have partnered with an Accountancy & Advisory Practice to find an M&A Tax Manager to join their team on a permanent basis. This is a hybrid position with 3 days a week in the London office.
Key Responsibilities:
- Leading transaction tax work-streams to include tax due diligence for acquisitions, disposals and refinancing.
- Tax efficient structuring on transactions for a range of clients including private equity funds, search funds, corporates and other financial investors.
- Being the day to day contact with clients and working collaboratively with colleagues in the transaction services, deal advisory and tax teams, in providing exceptional quality service and pragmatic advice to clients.
- Preparing and reviewing transaction tax and tax advisory deliverables e.g. tax due diligence reports, and tax structure papers.
- Review and provide comments on tax areas covered in legal documentation e.g. SPA, warranties and indemnities and tax covenants.
- Review tax assumptions in financial models.
- Contribute to the preparation of deal funds flows and cap tables as required.
- Manage international tax teams and review output on cross border transactions.
- Liaise effectively with all transaction stakeholders including clients, legal and other advisors and internal teams.
- Effective management of teams, deadlines and fee budgets including good financial hygiene.
- Coaching and developing junior team members.
- Contribute to the development and improvement of internal processes and tools to achieve more efficient working practices.
Key Requirements:
- Qualifications: ATT, CTA, ACA, ACCA or equivalent with three plus years post qualified experience.
- Strong technical knowledge of UK tax legislation and awareness of international tax concepts.
- Proven experience working on transactions.
- Organised with attention to detail and the ability to manage multiple assignments simultaneously.
- Strong communication skills and the ability to explain complex tax issues clearly.
- Builds trust easily and enjoys developing long-term client relationships.
