We’re looking for an Assistant Company Secretary to join our group Finance and Company Secretariat function at Telecoms Plus (the registered company for Utility Warehouse). This is a fantastic opportunity to take on a broad and challenging role. You'll have high exposure and wide responsibilities, providing robust, timely and professional company secretarial and corporate governance advice and support to a fast-growth FTSE 250 business.
Here's the key experience, skills & competencies we're looking for you to bring:
- Previous experience in a company secretariat function in a listed/FTSE business
- Sound knowledge and experience of the Listing Rules, MAR and corporate governance requirements and best practice.
- Experience of preparing announcements for the London Stock Exchange and making filings to the FCA.
- Awareness of tax and compliance requirements
- Working towards or already obtained an ICSA qualification is ideal
- Attention to detail, maintaining high standards of accuracy particularly when dealing with complex, repetitive, high-volume work
- A self-starter, able to perform autonomously, with minimal supervision.
- A "can-do" attitude is essential at UW!
- Excellent time management skills and able to prioritise and manage a busy agenda
- Great communication skills and enjoy working with a broad range of stakeholders and colleagues to deliver great work.
This is a hybrid role with 2 days per week split across our London offices (Colindale and Farringdon).
This role will report directly to the Head of Group Finance and work closely alongside colleagues in the wider Finance function. You'll also work closely with the People team in relation to Share scheme administration and the Head of Sustainability for ESG work. You'll regularly communicate directly with the CFO and other members of the Executive team.
As an Assistant Company Secretary at UW you will be responsible for:
- Taking a leading role in ensuring we deliver on our corporate governance requirements as a FTSE 250 company. This will include:
- Preparation of monthly Board packs and other Board committee packs
- Assisting with preparing for the company’s AGM
- Assisting with production of the Annual Report
- Managing the annual statutory accounts filing process and ensure deadlines are met
- Acting as company secretary for certain of the Group’s subsidiaries
- Assisting with the renewal of the Company’s Directors & Officers insurance
- Providing support to internal stakeholders developing the Company’s ESG framework
- Assisting with compliance with key corporate governance requirements
- Maintenance of the register of directors’ interests
- Managing the administration of the Company’s share option schemes.
- Maintenance of company registers and records, liaising with the Company’s registrar and outsourced cosec administrator
- Completing share capital returns to Companies House
- Preparing other ad-hoc compliance filings at Companies House
- Playing a key role in our ongoing corporate compliance projects and providing training.
