About the Role

We are seeking an experienced Corporate Counsel to support our legal team. This interim role will focus primarily on M&A transactions, corporate advisory matters, and strategic legal support across our international business. The successful candidate will lead and coordinate legal workstreams relating to acquisitions, corporate restructurings, commercial agreements, and cross-border legal matters. This is a hands-on role requiring strong transactional experience and the ability to operate independently in a fast-paced environment.

Key Responsibilities

  • Mergers & Acquisitions
    • Lead and manage legal due diligence processes for acquisitions.
    • Review, draft, and negotiate transaction documentation, including LOIs, SPAs, disclosure schedules, and ancillary agreements.
    • Partner closely with investment, finance, and operational teams throughout the deal lifecycle.
    • Support post-acquisition integration and corporate restructuring initiatives.
    • Coordinate and manage external counsel across multiple jurisdictions.
  • Corporate & Commercial Advisory
    • Advise on corporate governance, entity management, and strategic corporate projects.
    • Draft, review, and negotiate a broad range of commercial agreements, including supplier, partnership, services, and confidentiality agreements.
    • Support fundraising and other strategic corporate transactions as required.
    • Provide practical, commercially focused legal advice to senior stakeholders.
  • Regulatory & Risk Management
    • Assess legal and regulatory considerations relating to acquisitions and expansion into new jurisdictions.
    • Identify and mitigate legal risks associated with transaction and commercial activities.
    • Support compliance initiatives across the business.

Candidate Profile

  • Qualified solicitor or attorney with 6+ years PQE (or equivalent experience).
  • Strong M&A and corporate transactions background, ideally gained in a leading law firm and/or high-growth company environment.
  • Demonstrated experience managing acquisition transactions from diligence through completion.
  • Strong commercial contracting and corporate governance experience.
  • Ability to balance legal risk with commercial objectives.
  • Comfortable operating autonomously in a dynamic and entrepreneurial environment.
  • Excellent stakeholder management and communication skills.

Nice to Have

  • Experience advising on intellectual property matters, including brand protection, licensing, and IP due diligence.
  • Experience supporting employment law matters, particularly in the context of acquisitions, restructurings, and international workforce issues.
  • Exposure to e-commerce, technology, SaaS, consumer products, or private equity-backed businesses.
  • Experience working on cross-border transactions and multi-jurisdictional legal matters.
