About the Role
We are seeking an experienced Commercial Counsel to support our legal team on an interim basis. This role will focus primarily on commercial contracts, business partnering, legal risk management, and practical support across our international business.
The successful candidate will work closely with internal stakeholders to draft, review, and negotiate a wide range of commercial agreements, support day-to-day legal matters, and provide clear, pragmatic legal advice that enables the business to move quickly while managing risk appropriately.
This is a hands-on role requiring strong commercial contracting experience, sound judgment, and the ability to operate independently in a fast-paced, international environment.
Key Responsibilities
Commercial Contracts & Business Advisory
- Draft, review, and negotiate a broad range of commercial agreements, including supplier agreements, customer agreements, services agreements, partnership agreements, distribution agreements, confidentiality agreements, and amendments.
- Support internal teams on contract interpretation, negotiation strategy, and commercial risk allocation.
- Provide practical, commercially focused legal advice to senior stakeholders and business teams.
- Help streamline contracting processes, templates, playbooks, and approval workflows.
- Support the legal team on ad hoc commercial legal matters across the business.
Risk Management & Compliance
- Identify and advise on legal and commercial risks arising from contractual arrangements and business initiatives.
- Support compliance initiatives relevant to commercial operations, including data protection, consumer, marketing, supply chain, and regulatory matters as needed.
- Assist with legal due diligence and integration support where commercial contracts or operational legal issues are relevant.
- Work with cross-functional teams to ensure legal risk is managed in a practical and business-friendly way.
Candidate Profile
- Qualified solicitor with 2+ yearsโ PQE, or equivalent relevant experience.
- Strong commercial contracts experience, ideally gained in a law firm and/or in-house legal environment.
- Demonstrated ability to draft, review, and negotiate a variety of commercial agreements independently.
- Comfortable advising business stakeholders directly and balancing legal risk with commercial objectives.
- Strong issue-spotting, communication, and stakeholder management skills.
- Able to operate autonomously in a dynamic, entrepreneurial, and fast-moving environment.
- Practical, solutions-oriented, and comfortable working across multiple jurisdictions and business functions.
Nice to Have
- Experience with supplier, distribution, marketplace, e-commerce, logistics, technology, SaaS, or consumer products agreements.
- Experience advising on intellectual property matters, including brand protection, licensing, and IP ownership issues in commercial agreements.
- Exposure to data protection, privacy, marketing, consumer protection, or product compliance matters.
- Experience supporting businesses with international operations or cross-border commercial arrangements.
- Familiarity with private equity-backed, high-growth, or acquisitive business environments.
