Deputy Company Secretary 12 month fixed term contract Hybrid - Office location - Paddington Your Role Purpose The key responsibility of this role will be supporting the Company Secretary in the effective and efficient provision of secretariat services, and corporate governance. With exposure to all parts of the business working directly with our company and investor boards to ensure the smooth running of the Company Secretary function. Your Key Deliverables * Assist the Company Secretary in managing the administration of any long- term incentive schemes on behalf of the Board. * Provide documentation/ administration of regular report to the group company Boards on key issues pertaining the business, relevant to role. * Obtain investor consent for company matters/investments in a timely manner and maintain a register of consents. * Providing support in advising the group company boards on their responsibilities as Directors and ensuring they are briefed on changes to the law or regulations, including arranging tailored training updates in key legal/corporate issues as needed. * Appropriately handling correspondence and documentation for the Secretariat, including financial reports and documentation of a sensitive or confidential nature using a high degree of discretion. * Organise and maintain full up to date electronic corporate records and documents relating to the group companies in both the UK and overseas. Delivering a comprehensive range of support activities, proactively troubleshooting and resolving issues which arise to allow the Secretariat to deliver in line with legal and regulatory requirements in both the UK and overseas * Organise and where required attend group company boards as appropriate, ensuring accurate minutes are taken and reported and ensuring actions are delivered. * Communicating directly, and on behalf of the Company Secretary, with the Boards, regulatory authorities and others * Maintain the corporate structures up to date, with the formation of new companies and dissolution of companies as appropriate. * Ensure that corporate filings with regulatory bodies (e.g. Companies House) are all kept fully up to date. * Update and maintain the corporate and statutory records of the Group companies. * Ensure compliance with the shareholder arrangements, corporate governance and other relevant corporate regulations and legislation (e.g. Bribery Act, Competition law); support the company secretary with legal and regulatory changes in key areas and provide advice and assistance to the group company boards and senior managers on key issues. * Manage the collation and administration of internal guidelines, tool-kits, and packaged knowledge on various legal issues including anti-bribery, data protection issues and competition law compliance. * Maintain the corporate group risk register, working with the wider legal team to ensure we have identified legal risks to the business and developing strategies to mitigate against them and that they are recorded. * Provide oversight of the group’s insurance arrangements (UK and overseas) and compliance with the policy requirements; and dealing with the renewal of the insurances in a timely and cost-effective manner both in the UK and overseas Skills/Abilities: * Experience of working in a Group Legal Department * Experience of working in an organisation with large group structures and European subsidiaries * Knowledge of working practices of NHS and pharmaceutical companies * Ideally Degree in Business, Administration, Law, Management or similar discipline * Knowledge of company law and practice applicable to the company secretariat function * Experience of working in a company secretarial function * Experienced of taking minutes at board level and preparing and distributing board papers and actions. * Highly developed verbal and written communication abilities * Excellent organisational, time management and prioritisation skills * Ability to troubleshoot and provide solutions with sound judgement Proven ability to multi-task to deliver in a dynamic environment
