A fantastic opportunity to join a customer centric, mortgage and savings provider has arisen for an experienced Company Secretary. The role is part time (21 hours), ideally for 3 days per week which are set as Tuesdays, Wednesdays and Thursdays to align with the organisation's board requirements. There will be some flexibility from time to time on the days worked, for example during the summer months.
The Company Secretary is a stand-alone role that is responsible for ensuring the effective operation of the Board and its Committees, maintaining the highest standards of corporate governance. Reporting to the Chief Risk Officer, the role acts as the principal advisor to the Board, Executive Directors and the Executive Committee on corporate governance matters, ensuring compliance with legal and regulatory requirements.
Key duties will include:
- Manage the Board and Committee cycle, prepare agendas with the Chair, ensure timely circulation of high-quality papers, preparation of packs, record accurate minutes and maintain action tracking.
- Support in the effective running of the AGM ensuring all governance requirements are met.
- Ensure compliance with statutory filing obligations e.g. annual returns, rule amendments etc.
- Act as the primary governance adviser to the Chair, Board and senior executives.
The successful individual will:
- Be a Qualified Chartered Secretary or have an equivalent legal/governance qualification.
- Demonstrable experience as Company Secretary or Deputy in a regulated financial services environment.
- Have experience of dealing with regulators, drafting governance papers and maintaining statutory records.
- Have excellent written communication, organisational and minute-taking skills.
This is a great opportunity for someone experienced who is seeking part time hours, within a smaller, more customer focussed setting. As this role is stand-alone, you really have the opportunity to make it your own and help with shaping the organisation's future. Part-Time hours are Tues, Weds, Thurs from 9.00 am – 5.00 pm and our client can offer flexibility with office presence. They request one day per week based at head office (Edinburgh), but with the understanding when there are board meetings that more office presence will be required.
Alongside a competitive salary, you would also be entitled to company benefits which include; up to 10% generous pension scheme, private health care and standard 30 days holiday (plus Bank holidays).
