With an ambitious build-and-buy strategy leading to strong growth targets, we are looking for an exceptional Commercial Legal Counsel to join our team, reporting directly into the Group CFO. This critical position will deliver strategic input and legal oversight across a dynamic, high-growth business spanning technology & digital transformation services and talent resourcing services. You'll manage complex commercial agreements, support M&A initiatives, and safeguard the company’s legal and regulatory positioning—all while working closely with operational and financial stakeholders. This role will own and develop TXP’s commercial legal capability—drafting, negotiating, operational ownership of contract lifecycle management and governing the various contracts that underpin Consulting, Development and Resourcing; safeguarding compliance (data protection, information security, frameworks); and resolving people and commercial disputes pragmatically while enabling growth. This role can be completed in a hybrid way, spending 2-3 days a week in our Birmingham-Fort Dunlop offices.
Responsibilities
- Contract Lifecycle Management – Draft, review, negotiate, and manage a range of commercial agreements: MSAs, SaaS/customer/vendor contracts, supply and partnership agreements, NDAs, licensing deals, reseller/distribution arrangements, and data-processing agreements (GDPR).
- Commercial & Deal Support – Partner with CFO, commercial and operational teams, and dealmakers to structure risk-mitigated, business-aligned agreements. Influence negotiation strategy and elevate critical legal considerations.
- PE & M&A Support – Provide legal due diligence support for acquisitions, investments, and divestitures. Support in drafting/reviewing agreements, and conduct post-deal integration guidance.
- Regulatory & Risk Compliance – Oversee compliance with data privacy laws (e.g., UK GDPR), IP rights and licensing, regulatory frameworks in tech and recruitment, and PE reporting obligations. Conduct risk assessments and propose mitigating actions.
- Cross-Functional Partnering – Work hand-in-hand with Finance, Sales, HR, IT, and Operations. Provide legal training and policy guidance to the contracts team, internal stakeholders, enhancing commercial awareness and legal literacy across teams.
- Process & Tech Enhancement – Advance legal operations through process improvement, documentation, CLM tools, and contract libraries. Drive automation and efficiency in legal workflows including the use of AI.
- Governance & Oversight – Support the CFO with relevant governance and reporting.
- Team Management – Manage the contract management team (3), providing structured support and career development.
Skills & Experience
- 5+ years PQE or equivalent commercial legal experience, preferably in technology/SaaS and/or resourcing/recruitment sectors.
- Proven track record negotiating complex commercial and vendor agreements.
- Proficient in interpreting risk through both legal and financial lenses.
- Exceptional communication, negotiation, and stakeholder engagement skills.
- Experience advising sales leadership and finance teams.
- Previously managed and developed a small contract management team.
- In-house experience within a PE-backed environment or fast-scaling tech/resourcing business.
- Familiarity with SaaS, IP licensing, data privacy, and emerging technologies.
- Experience in M&A transactions, due diligence, and post-deal integration.
- Experience with legal tech and operations, CLM, or process automation.
- Exposure to PE governance, board reporting, or investor relations.
