Job function: Reporting to the HR Director, this exciting new role is responsible for the governance, oversight, and ongoing compliance of TXO’s contractor population (c300). This role ensures full compliance with UK off-payroll working legislation (IR35), supervision, direction and control (SDC) requirements, and broader contingent workforce regulatory obligations. The position acts as the central point of accountability for contractor risk management, working cross-functionally with HR, Finance, Legal, Procurement, and operational leaders. This role protects TXO from significant financial, reputational, and regulatory risk associated with incorrect employment status determinations. The Contractor Compliance Manager plays a critical role in safeguarding the organization while enabling flexible workforce strategy.
Specific responsibilities:
- Follow all companies Policies and Procedures including but not limited to Quality, Health and Safety, Environment and Information Security.
- IR35 Governance & Compliance
- Own and maintain TXO’s IR35 compliance framework
- Conduct and review employment status assessments
- Issue and maintain Status Determination Statements (SDS)
- Issue and maintain Contractor Agreements
- Ensure determinations are evidence-based and defensible
- Manage dispute processes in line with statutory requirements
- Maintain audit-ready documentation and compliance records
- Monitor legislative changes and update internal policy accordingly
- W-9 collection and TIN validation
- Managing backup withholding (if applicable) and withholding requirements
- Filing forms 1099-NEC and 1099-MISC
- Responsible for classification compliance
- Ensure contractor working practices align with IR35 determinations
- Monitor operational adherence to agreed contractual terms
- Work with hiring managers to mitigate risk of “inside IR35 drift”
- Provide guidance to managers on compliant engagement practices
- Conduct periodic compliance audits across departments
- Maintain central register of all contractors and Statements of Work
- Track contracts start/end dates, renewals, and rate changes
- Ensure correct contractual documentation is in place prior to engagement
- Oversee onboarding and offboarding compliance processes
- Liaise with agencies and umbrella companies where applicable
- Identify and escalate compliance risks
- Support internal audit activity relating to contingent workforce
- Partner with Finance to ensure correct tax treatment and payroll handling
- Provide compliance reporting to SLT and/or Audit Committee
- Support HMRC enquiries if required
- Act as subject matter expert on off-payroll legislation
- Train hiring managers on IR35 and SDC obligations
- Provide guidance on alternative engagement models (SoW vs day-rate vs PAYE)
- Support commercial teams in structuring compliant contractor engagements
About you:
- Strong working knowledge of UK IR35/off-payroll legislation
- Understanding of contractor compliance obligations across the UK and USA
- Experience managing contractor or contingent workforce compliance
- Understanding of supervision, direction and control principles
- Experience working cross-functionally with Finance, HR, and Legal
- Strong documentation and governance discipline
