The Role
We’re looking for a Contracts Manager to play a key role in shaping and managing Tracsis’ commercial contracting approach. This role focuses on drafting and negotiating a wide range of commercial contracts, alongside building and embedding a robust contract lifecycle management process. Working closely with commercial, operational and product teams, you’ll provide pragmatic, commercially focused legal support that balances risk management with business objectives and supports Tracsis’ strategic growth.
What you will do
- Drafting, reviewing and negotiating a variety of commercial agreements, including software licences, SaaS agreements, supplier contracts, customer agreements, NDAs, service agreements and data processing agreements.
- Designing and implementing an effective contract lifecycle management (CLM) process, covering negotiation, execution, renewal and termination. This will include developing contract templates, playbooks and guidance materials.
- Maintaining an organised contract repository and tracking key contractual obligations, milestones and expiry dates.
- Providing clear, practical legal advice to stakeholders across commercial, operational and product teams.
- Identifying legal and commercial risks within contractual arrangements and advising on proportionate mitigation approaches.
- Collaborating with data protection, information security and compliance colleagues to ensure contracts reflect regulatory requirements, internal policies and risk appetite.
- Supporting the continuous improvement of standard contracting processes to drive efficiency and consistency across the organisation.
- Keeping up to date with developments in contract law and the technology sector, using this insight to strengthen standard terms and negotiation strategies over time.
What you’ll bring
- Experience drafting and negotiating commercial contracts, ideally within a technology or software environment.
- Previous in-house legal experience, either in a permanent role or via secondment (preferred).
- Familiarity with Crown Commercial Service terms and contracting under government procurement frameworks.
- An understanding of common software contracting considerations such as intellectual property, licensing models and service levels.
- Strong commercial awareness, with the ability to balance legal risk and business priorities.
- Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly to non‑legal stakeholders.
- Strong organisational skills and the ability to manage multiple matters concurrently.
- A collaborative, proactive and solution‑focused approach to problem solving.
- Experience contributing to or developing contract lifecycle management processes, templates or playbooks is desirable.
- Working knowledge of intellectual property considerations within commercial contracts would be an advantage.
