TPT Retirement Solutions are looking for a collaborative and detail‑focused governance professional to join our team as Corporate Governance Manager. This role plays a key part in supporting strong governance across our Group, ensuring we meet our statutory, regulatory and corporate responsibilities. You’ll work closely with our Head of Governance, Board Chairs, Non‑Executive Directors and Executive team to help us operate transparently, ethically and effectively.
You will be responsible for:
- Maintaining accurate company records and filings at Companies House.
- Supporting Board Chairs, NEDs and the Executive team by advising on governance and compliance matters.
- Leading the drafting of the Strategic and Directors’ Reports ensuring the requirements of the Companies Act 2006 are covered and considering compliance with governance codes.
- Ensuring governance processes and procedures meet FCA and TPR regulatory requirements.
- Reviewing and updating governance frameworks, ensuring clear articulation of delegations within appropriate parameters, drafting terms of reference and Articles of Association.
- Supporting group corporate structure reviews, entity / subsidiary maintenance and ensuring governance efficiency across the group.
- Leading NED recruitment, succession planning, onboarding, completion of skills assessments and development of training plans.
- Leading Board effectiveness reviews and the annual NED appraisal processes.
- Managing the external board portal, including supplier oversight and user audits.
- Coordinating Board and committee meetings, including creating agendas, papers, minutes and action tracking.
- Drafting and maintaining governance policies and procedures.
- Supporting shareholder governance forums and managing the AGM process to include preparation of Resolutions.
- Working with Compliance, HR and senior leaders to meet regulatory expectations for Directors.
- Managing the corporate governance team, ensuring coordination of governance activity across the wider group.
- Providing cover for the Head of Governance when required.
Qualifications, Skills & Experience:
- Proven experience in a governance, company secretarial or regulatory environment.
- Strong understanding of FCA-regulated or pensions environments and associated statutory governance expectations.
- Knowledge of the Companies Act 2006, corporate governance codes and statutory reporting.
- Ability to present to the Board on governance topics including writing of Board reports.
- Experience of drafting and implementing policies/managing processes for conflicts of interest.
- Excellent organisational skills, with the ability to manage multiple priorities and deadlines.
- Clear, confident communication skills, both written and verbal.
- Experience of leading, coaching and developing a team.
- A proactive mindset, with the ability to improve processes and build strong working relationships.
