Role Overview
We are looking for a Senior Assistant Company Secretary (EMEA) to join a close‑knit Secretarial team. In this role, you’ll guide and support the Company Secretarial Team professionally and administratively, dealing with all levels across a diversified Group. You will predominantly provide guidance to and support regulated Boards and their Committees within the EMEA Sub‑Group while also assisting team members on other Group or EMEA related matters and projects.
Job Duties
- Advise and guide the Boards and senior executive stakeholders of the EMEA Sub‑Group with respect to EMEA regulatory governance, corporate law and other administrative matters.
- Co‑ordinate the Boards meeting calendars and draft and circulate all agendas and relevant materials.
- Influence and provide guidance to senior stakeholders with respect to Board and Committee materials.
- Attend and minute Board and Committee meetings and ensure minutes, action schedules are circulated and followed up.
- Ensure the security of the EMEA Sub‑Group’s legal documents.
- Act as principal point of contact for allocated NEDs, managing director inductions and Board / Committee evaluations.
- Review and develop the EMEA corporate governance framework, oversee its implementation and compliance.
- Provide guidance and advice to governance forums and functional heads on corporate governance matters.
- Assist in the annual agenda planning process and maintain accurate action logs.
- Assist in the Board and Committee effectiveness reviews.
Person Specification – Skills & Competencies
- Working knowledge of the legal, regulatory and corporate governance framework applying to regulated and multi‑jurisdictional companies is essential.
- Excellent written and verbal communication skills.
- Ability to work autonomously with minimal oversight.
- Good attention to detail.
- Self‑motivated with the ability to work in a fast‑paced environment and prioritise workload.
- Confidence with a “can‑do” and “problem‑solving” approach.
- Able to work well as a team member and build rapport and trust with both internal and external stakeholders.
Essential Experience / Competences
- Extensive company secretarial experience at a senior level.
- Extensive experience providing guidance and direction to senior stakeholders.
- Technology proficient.
- Complex minute‑taking experience.
- UK listed company and/or financial services sector experience preferred.
- Fully CGI qualified (i.e. ACG / FCG) is essential.
Desired
- Multi‑jurisdiction listed experience.
- Related degree in Law, Business or Accounting.
- Project Management experience.
