Working as part of a team of eight in delivering corporate governance support to the TP ICAP Group. You will be part of a supportive team, and growth and development opportunities are provided from day one.
The role will be focused on supporting the Head of EMEA Governance to deliver a structured and effective wide-ranging company secretarial services to both the EMEA Sub-Group and broader global subsidiary group. In this varied role, you will support regulated boards and their committees in the UK and other core EMEA jurisdictions, provide support on corporate transactions and governance projects, and oversee corporate compliance and administration.
Role Responsibilities
- Assisting the Head of EMEA Governance in delivering high-quality and responsive company secretarial services to the business and wider stakeholders.
- Acting as a technical escalation point and deputising for the Head of EMEA Governance.
- Supporting the provision of end-to-end meeting support to the EMEA sub-group regulated boards, committees, and management meetings.
- Ownership of your own portfolio of meetings including liaison with key stakeholders, overseeing the preparation of agendas, collation of papers, and the timely distribution of meeting packs, preparing good quality minutes, and maintaining accurate action logs.
- Building strong relationships with senior stakeholders, including Executive Directors, Non-executive Directors, and senior management.
- Assisting with corporate transactions for UK companies, including dividends, share capital changes, and other ad hoc business requests.
- Supporting broader group restructuring, acquisition, or governance projects.
- Maintaining a strong EMEA sub-group governance framework, including reviewing and updating governance documentation, undertaking board effectiveness reviews, and supporting governance initiatives and board training.
- Championing the enhancement of governance processes and the quality of board reporting.
- Supervising and developing more junior team members.
Global Subsidiary Governance
- Oversight of the Group structure and secretariat database (GEMS).
- Overseeing statutory compliance for the portfolio of EMEA companies, both in the UK and internationally, including liaising with overseas colleagues and professional advisers.
- Working with colleagues in the Americas and APAC to support Group requests, including arranging for approval and execution of corporate documentation.
Experience / Competencies
This role would suit an ambitious Assistant Company Secretary seeking to progress to the next level, taking ownership of a portfolio of meetings while gaining valuable exposure to wider transactional and governance matters in a regulated environment.
Essential
- Demonstrable company secretarial experience.
- Fully CGI qualified (i.e. CG (Affiliated) / Grad CG / ACG). 5+ year post qualification.
- Knowledge of the legal, regulatory and corporate governance framework applying to UK regulated companies is preferable.
- Excellent written/verbal communication skills.
- Good attention to detail.
- Strong minute-writing skills with the ability to balance technical accuracy and commercial awareness.
- Self-motivated with the ability to work in a fast-paced environment and prioritise workload.
- Confidence and a can-do approach – someone who is excited about the opportunity to shape their area of responsibility and grow with the Group.
- Able to work well as a team member and build rapport and trust with both internal and external stakeholders.
Desired
- Financial services sector experience would be beneficial but is not essential.
