Role Summary

To report to the Deputy Company Secretary and support the Company Secretariat team of 8 in delivering high quality corporate governance compliance and administration, supporting both the EMEA Sub-Group and listed company activities. The role will see you assist and support the Deputy Company Secretary’s to deliver a structured and effective wide-ranging company secretarial service, whilst ensuring the Group and its subsidiaries comply with their relevant best practice and statutory obligations.

Role Responsibilities
  • Assist the Deputy Company Secretary in effective management of the EMEA HoldCo and UK Regulated Entities’ Boards, Committees and management meetings, including proactively managing meeting schedules, assisting in the annual agenda planning process, preparation of agendas, collation, and timely distribution of meeting packs, and maintaining accurate action logs.
  • Accountable for the statutory/regulatory compliance of a portfolio of companies both international and UK including a number of regulated entities.
  • Management of the UK statutory accounts approval/filing processes and liaison with external auditors and finance teams including the preparation of relevant paperwork and minutes.
  • Oversee the Company Secretary Assistants managing the authorised signatory lists for the UK Regulated Entities.
  • Act as secretary to Group executive level management meetings and/or Committees overseeing all related events management and minute taking at meetings.
  • Assist with ad hoc projects including corporate restructurings, incorporations, strike offs and liquidations as required.
  • Oversight of the company secretarial assistants management of information requests from other departments, shareholders and external third parties.
Person Specification

This role would suit a Company Secretarial assistant taking their second step on their career journey, 3-4 years post qualification.

Skills & Competencies
  • Knowledge of the legal, regulatory and corporate governance framework applying to UK regulated companies is preferable.
  • Excellent written/verbal communication skills.
  • Good attention to detail.
  • Self-motivated with the ability to work in a fast-paced environment and prioritise workload.
  • Confidence and a “can-do” approach.
  • Able to work well as a team member and build rapport and trust with both internal and external stakeholders.
Experience
  • Demonstrable company secretarial experience is desirable.
  • Technology proficient.
  • Financial services sector experience would be beneficial but is not essential.
Qualifications

Fully CGI qualified (i.e. CG (Affiliated) / Grad CG / ACG). 3-4 year post qualification.
