Role Overview
We are looking for two Company Secretarial Assistants to join a close-knit Secretarial team on a 12 month Fixed Term contract. In this role, you’ll work to support the Company Secretarial Team professionally and administratively, dealing with all levels across a diversified Group.
In this exciting and varied role, you will predominantly be supporting c.190 Group Entities to help ensure their compliance with applicable laws and regulations. You will also be at the forefront of helping us to manage the c.250 Board and Committee meetings that we support a year; from helping to prepare agendas, pack collation, taking minutes and tracking actions. You will have exposure to all aspects of the Company’s lifecycle and agile working; a supportive team and growth and development opportunities are provided from day one.

Job Duties
Board and Committee Support

Responsibility for discharging all the normal duties of a Company Secretarial Assistant of a listed company.

Provide support to governance forums, including Executive and operating committees, management committees and governance of regulated entities; meeting management.

Providing administrative support for collating and distribution of Board and Committee meeting packs.
-
In conjunction with the Corporate Secretariat Team, co-ordinating the Board meeting calendar, helping to ensure the circulation of all agendas and relevant materials in advance of the meeting.

Influencing the quality of Board materials as appropriate (preparing template materials etc).
-
Ensuring the security of the Company’s legal documents (e.g. certificates of incorporation, directors’ service contracts or letters of engagement etc).
Group Governance

Assisting with the oversight of confidential, restricted persons and insider project lists and processes.

Assisting in the provision of a full company secretarial administration service to the Group’s UK and overseas subsidiaries, such as drafting Board and shareholder minutes and resolutions.

Maintaining, undertaking and facilitating the Group’s corporate entity filings.

Ensuring accurate records and statutory registers for Group legal entities (utilising the GEMs system).

Maintaining the Group Structure Chart and Capital Transaction Register.

Assisting in the preparation and finalisation of subsidiary statutory accounts.

Assisting with ad hoc projects including corporate restructurings, incorporations, strike-offs and liquidations as required.

Responding to company secretarial information requests from other departments, shareholders and external third parties, including information provision to internal stakeholders in relation to the client on-boarding processes.

Skills & Competencies

W orking knowledge of the legal, regulatory and corporate governance framework applying to listed muti-jurisdictional companies is essential.
