We are looking for a highly organised and detail-focused Board and Governance Officer to join our Governance team at Torus Group on a 12-month fixed-term contract. This is an excellent opportunity to play a key role in supporting our Boards and Committees, ensuring the smooth and effective delivery of governance processes across the organisation.
Working closely with the Group Head of Governance, you will be central to the coordination of Board and Committee activity, helping to maintain high standards of compliance, transparency and good governance. This role requires flexibility, as you will attend meetings that may occasionally take place outside standard working hours. This role offers a hybrid working arrangement, providing flexibility between home and office-based working. The team collaborates in person on Mondays and Wednesdays, with additional office attendance as required to support meetings and governance activities.
What you will be doing:
- Coordinate and administer Board, Subsidiary Board and Committee meetings from end to end, including agenda planning, paper collation, and distribution.
- Attend meetings, produce accurate minutes and action logs, and follow up on outcomes.
- Act as a key point of contact for Board and Committee members, providing guidance and support on governance matters.
- Work closely with Chairs and senior stakeholders to plan agendas and ensure effective meeting delivery.
- Manage the governance cycle, maintaining forward plans and meeting schedules.
- Ensure compliance with company law, regulatory requirements and governance best practice.
- Maintain statutory registers and governance records, including attendance, declarations of interest and training logs.
- Support Board member recruitment, induction and ongoing development activities.
- Organise all meeting logistics, including venues, travel, and accommodation.
- Assist with contract registers, policy frameworks, and document sealing processes.
- Process purchase orders and invoices in line with organisational procedures.
What we are looking for:
- Proven experience in a governance, company secretarial or board support role.
- Strong experience of servicing Boards or senior-level committees, including minute-taking.
- Experience of company secretarial duties or a regulated environment.
- Excellent organisational skills, with the ability to manage competing priorities and meet tight deadlines.
- High levels of accuracy and attention to detail, particularly in a fast-paced environment.
- Strong communication skills, with confidence engaging senior stakeholders and Board members.
- Discretion and professionalism when handling sensitive or confidential information.
- Good IT skills and experience using a range of systems and databases.
- A collaborative approach, with the ability to work effectively as part of a team.
- Flexibility to attend meetings outside normal working hours when required.
Interview Process:
Candidates will be invited to attend an interview, which will include a competency-based discussion exploring relevant experience, knowledge, and skills required for the role. Interviews will take place Monday 13th July, at our Liverpool City Centre Office.
