Senior In-House Commercial Contracts Lawyer

Location: Southampton, United Kingdom (Flexible / Hybrid working)

Our Office of the General Counsel advises on a wide variety of risk issues related to the delivery of professional services across assurance, tax, and advisory sectors. We are committed to flexible working arrangements, including reduced hours and job shares, to support work-life balance.

Role Overview

We are seeking an experienced commercial contracts lawyer for our in-house legal team. Your responsibilities will include:

  1. Negotiating contracts with clients, including MSAs and public-sector frameworks, and advising on contracts with sub-contractors and suppliers.
  2. Improving standard terms of business based on negotiation experiences and operational issues.
  3. Handling various commercial contracting issues such as international adoption contracts, data-sharing agreements, secondments, software supply contracts, and interpretation of contractual provisions.
  4. Providing legal input into other contractual situations, including termination clauses, NDAs, tender documents, and disclosure agreements.
  5. Advising colleagues on risk management and compliance issues.
  6. Supporting collaboration and referral agreements, and working closely with the risk-management team.
  7. Mentoring less experienced lawyers and identifying learning opportunities.
  8. Monitoring risk trends and updating templates and procedures accordingly.
  9. Educating colleagues on legal and risk issues through training and guidance materials.

Candidate Profile

The minimum requirements include:

  1. Qualified solicitor or barrister with experience in drafting and negotiating commercial contracts.
  2. Knowledge of professional liability law and professional services contracting.
  3. Pragmatic, solution-focused approach with excellent communication skills.
  4. Experience managing and developing colleagues.
