JOB OVERVIEW
We have a fantastic new opportunity for a Non-Executive Director / Board Member who has effective leadership skills, a strategic mindset and an ability to work within an Executive Team.
As the Non-Executive Director / Board Member you will be able to demonstrate the highest standards of governance and sound decision-making principles.
The Boards are entirely skills based in line with the Regulator of Social Housing’s expectations. A Skills Matrix is refreshed at least annually, and the Boards’ approved Succession Plan is subject to ongoing review to ensure continuity at Board level.
The organisation is rated by the Regulator of Social Housing as a G1/V2 organisation and have demonstrated their ability to operate as a high performing and reliable business, offering housing, accommodation and support to people in Worcestershire and Gloucestershire.
The organisation is particularly interested in applications for Non-Executive Director / Board Member from candidates who may have experience of:
- Treasury management (specific to the housing sector would be an advantage)
- Building assets, sustainability, quality and safety (not necessarily housing sector related)
- Life as a resident in Social Housing
An understanding of communities and local issues would also be an advantage.
DUTIES
There are seven general duties of all directors, including a Non-Executive Director / Board Member. This is enshrined in company law and is common with community benefit law:
- Act within the powers of the Group’s Rules
- Promote the success of the Group for the benefit of its members as a whole paying regard to:
- employee interests
- relationships with customers, suppliers, regulators and other stakeholders
- operational impact upon the environment and communities
- the need to maintain high standards of conduct and probity and to act fairly
- Exercise independent judgement
- Exercise reasonable care, skill and diligence
- Avoid conflicts of interest
- Not to accept benefits from third parties
- Declare interests in transactions or arrangements with the company
