Job Purpose: We are currently seeking an Associate Corporate Counsel – EMEA. This role will support the Chief Legal Officer, Deputy General Counsel, and Sr. Counsel, Litigation & HR in managing the company's internal legal affairs in accordance with company policies and practices. The primary focus will be managing litigation matters and providing counsel on human resources and employment-related issues within EMEA. Additionally, the role will collaborate with various departments to review, draft, and negotiate contracts, address commercial issues, ensure operational compliance, and provide general corporate legal support to the Company and its Senior Management Team. This position will report directly to the Sr. Counsel, Litigation & HR, with a matrix/indirect report to the Deputy General Counsel.
Essential Duties and Responsibilities:
- Provide legal advice and counseling regarding labor and employment issues.
- Support management, direction, and resolution of litigation and other disputes.
- Support human resource legal matters and related investigations.
- Review, draft, and negotiate commercial contracts including sales, service, procurement and other commercial agreements.
- Review, draft and administer other legal documents as needed, including but not limited to, sales, purchasing, real estate, government and other legal documents.
- Provide commercial and corporate legal advice as needed.
- Assist with the development and maintenance of corporate policies, procedures and general compliance matters.
- Assist with research and review of applicable federal, state and international statutes and regulations and maintaining the company’s compliance with them.
- Assist with M&A activities, as needed.
- Identify and assess legal and business risks to the Company.
- Manage and direct outside counsel and provide oversight as may be required.
- Aid with responses to legal questions from company management and staff.
- Provide guidance and direction to paralegals and other support staff members of the Legal Department.
- Provide assistance to the Chief Legal Officer, the Deputy General Counsel, and the Sr. Counsel, Litigation & HR as may be required.
Qualifications:
- Juris Doctor Degree or foreign equivalent with at least three (3) years of relevant work experience.
- Valid license to practice law in appropriate jurisdiction.
- Must have excellent writing and communication skills.
- Must be willing to travel.
- Read, analyze & interpret policies, compliance guidelines, financial reports and other legal documents.
- Have high level writing and communication abilities.
- Ability to analyze complex situations, and to deliver sound, practical legal advice.
- Able to present information to the management team, employee groups or departments in a succinct and clear way.
- Be detail-oriented, organized, efficient, and resourceful with strong follow-through skills.
- Able to interpret a variety of instructions supplied in both written and verbal format.
- Be able to operate autonomously while being a team player who brings a positive attitude to the workplace and works collaboratively with other members of the Legal Department and with internal clients.
