Our client acts as key advisors to the owners of operational PFI contracts across the UK. We are seeking an experienced and commercially astute Commercial Manager to lead the negotiation and resolution of complex legacy issues associated with Private Finance Initiative (PFI) projects. The successful candidate will play a critical role in safeguarding long-term commercial value, managing risk, and ensuring ongoing compliance with contractual obligations across multiple PFI contracts involving capital works.
Key Responsibilities:
- Lead the commercial resolution of legacy issues, disputes, and variations across operational healthcare PFI contracts.
- Act as the primary commercial interface with NHS Trusts, ProjectCos, FM providers, legal advisors, and other key stakeholders.
- Conduct detailed contract analysis (including Project Agreements, FM contracts, and interface agreements) to support negotiation positions.
- Develop and implement commercial strategies to address historic and emerging issues, including benchmarking, lifecycle works, payment mechanism disputes, and performance deductions.
- Support or lead negotiations, settlements, and mediations in collaboration with legal and technical advisors.
- Provide input into risk registers, commercial reports, and board papers with clear analysis and recommendations.
- Monitor compliance with contractual obligations, KPIs, and service outputs as they relate to legacy matters.
- Review and assess claims and variations submitted by FM service providers or raised by public sector stakeholders.
- Work collaboratively with asset management, legal, finance, and operational teams to align commercial strategies with wider project objectives.
Essential Skills & Experience:
- Proven experience in a commercial management role within PFI / PPP infrastructure projects, preferably in the healthcare sector.
- Strong knowledge of UK PFI contract structures, including SOPC4 and related guidance.
- Demonstrable experience managing legacy and operational phase issues, including dispute resolution, variations, and contract compliance.
- Excellent negotiation, drafting, and analytical skills.
- Experience working with or for ProjectCos, FM providers, SPVs, or public sector clients in the PFI space.
- Familiarity with payment mechanisms, lifecycle planning, and service performance regimes.
Desirable Qualifications:
- Candidates will ideally be degree qualified in Quantity Surveying, Building Surveying, Law, Construction, or Business (or equivalent experience) with RICS, CIPS, or other relevant professional membership.
- Experience in dispute resolution processes, such as adjudication or mediation is highly desirable.
The role will require:

- Able to work independently and handle sensitive commercial issues with discretion.
