Corporate M&A Specialist – Transactional Risk Advisory Scotland - Home-based with regional travel.
A career beyond private practice—applying your M&A expertise to live deals, commercial relationships and business growth. Thomson Legal is working with an award-winning company looking to recruit an experienced corporate M&A lawyer for its transactional risk team. This opportunity combines technical analysis, client advisory work and business development. It offers the chance to remain closely involved in transactions while applying your legal expertise in a commercial advisory environment.
Your region will be agreed based on your market knowledge, experience and Bartlett’s business requirements.
The Role:
- You will help clients identify and arrange insurance solutions for risks arising during M&A transactions, including warranty, tax and other deal-specific exposures.
- Working alongside corporate lawyers, private equity professionals, corporate finance advisers and insurers, you will review transaction structures, SPAs, disclosure materials and due diligence findings to assess risks and suitable solutions.
- The focus is on transactional risk analysis and arranging insurance solutions, rather than acting as the client’s legal adviser on the underlying acquisition documents.
- Business development is central to the position. You will build relationships across your regional M&A community, develop a pipeline of opportunities and convert suitable enquiries into instructions.
- The balance between business development and transaction delivery will vary with deal activity and business needs.
Key responsibilities:
- Develop relationships with corporate lawyers, corporate finance advisers, private equity professionals and other deal participants.
- Identify new business opportunities and manage a pipeline from initial enquiry through to instruction and completion.
- Review transaction documents and due diligence materials to assess issues relevant to transactional risk insurance.
- Present Bartlett’s M&A proposition and insurance solutions to prospective clients and introducers.
- Prepare and deliver presentations tailored to clients, sectors and professional audiences.
- Advise on suitable solutions within the scope of your role and authority, and negotiate their terms on behalf of clients.
- Coordinate with clients, legal advisers, insurers and other parties throughout transactions.
- Support the finalisation of documentation relating to the insurance solutions being arranged.
- Maintain knowledge of M&A activity, transactional risk products and relevant regulatory requirements.
- Keep appropriate records and follow Bartlett’s internal procedures.
About You:
- You will be a qualified solicitor with substantial experience advising on corporate M&A transactions, bringing:
- The technical ability to assess SPAs, disclosure materials and due diligence findings.
- A clear understanding of the M&A lifecycle, transaction pressures and commercial priorities.
- Strong client-facing communication skills and the ability to explain technical issues clearly.
- Knowledge of the M&A market in Scotland, Bristol or Birmingham, or relevant transferable market experience.
- An interest in developing professional relationships, identifying opportunities and winning business.
- The ability to organise your work independently while collaborating with colleagues and seeking support when needed.
- An established regional network would be advantageous, but is not essential if you can demonstrate the ability to build one.
- SME or mid-market, private equity or tax law experience would also be beneficial.
Working arrangements and development:
- The role is home-based, with regular travel within your agreed region for client meetings, events and business development, plus occasional wider team meetings.
- You will have flexibility to organise your diary within agreed objectives, subject to client needs, transaction deadlines and internal requirements.
- Some transactions may require availability outside normal working hours; expectations will be discussed during recruitment.
- You will have opportunities to develop your regional profile, manage client relationships and contribute to the growth of Bartlett’s M&A offering.
- Further responsibilities and progression will depend on performance, business needs and available opportunities.
- Requests for reasonable adjustments are welcomed throughout recruitment and in the role.
