b Overview /b p In this role you will support a leading international investment funds practice from Edinburgh, focusing on fund formation, structuring, and investment work across real estate, energy, infrastructure, debt, and buy-out funds. You will collaborate with tax and regulatory specialists to deliver full service advice for fund establishment and compliance. The role involves drafting key fund documents, negotiating with investors, and providing regulatory input on AIFMD and financial promotion matters. This is a chance to contribute to cross-border fund activity and work with a dynamic team in a growing practice. A strong hook is the opportunity to impact complex fundraisings and fund structures in /p b Pay / Benefits /b ul li highly competitive salary and benefits package /li /ul b Responsibilities /b ul li Draft constitutional documentation for funds (limited partnerships, unit trusts, shareholder agreements) /li li Draft and negotiate ancillary documents (management and administration agreements) /li li Advise on carried interest arrangements /li li Review marketing material /li li Provide high-level UK financial regulation advice related to investment funds (AIFMD, financial promotion) /li li Negotiate fund documentation with investors and handle side letter requests /li li Draft LLP agreements for new managers /li li Coordinate with offshore law firms and administrators /li li Review fund documentation for institutional investors and prepare client-friendly reports /li li Negotiate with fund counsel when acting for investors (cornerstone/minority) and discuss funds with managers /li /ul b Key requirements /b ul li Circa 1-5 years PQE and prior investment funds experience /li li Team player /li li Ambitious lawyer /li /ul ul li team player /li li ambitious /li li AIFMD familiarity /li li UK financial promotion regime /li li drafting fund documents (LPAs, unit trusts, shareholder agreements) /li li negotiation of fund documentation /li /ul
