Top tier Scottish firm are seeking a talented Corporate / Commercial Lawyer to join their growing legal team in Edinburgh. This role offers the opportunity to work on a broad range of high-quality corporate and commercial matters, advising a diverse client base from high-growth SMEs to established national and international businesses. The successful candidate will play a key role in supporting transactions, drafting and negotiating commercial agreements, and providing practical, commercially focused legal advice.
Role Responsibilities:
- Advising clients on a wide range of corporate transactions, including mergers and acquisitions, disposals, restructurings, joint ventures, and investments.
- Drafting, reviewing, and negotiating commercial contracts, including supply, distribution, services, agency, and outsourcing agreements.
- Supporting clients on shareholder agreements, articles of association, and corporate governance matters.
- Conducting and managing legal due diligence for transactions.
- Providing clear, pragmatic advice aligned with clients’ commercial objectives.
- Managing client relationships and contributing to business development initiatives.
- Collaborating with colleagues across practice areas.
Candidate Requirements:
- Qualified solicitor in Scotland (or another UK jurisdiction with relevant experience).
- Ideally 4+ PQE in corporate and commercial law.
- Strong experience in drafting and negotiating commercial agreements.
- Sound technical knowledge of UK corporate and commercial law.
- Excellent communication and client-handling skills.
- Commercially minded, with the ability to deliver practical solutions.
- Strong attention to detail and ability to manage multiple matters concurrently.
- Experience advising high-growth, technology, or regulated-sector clients.
- Exposure to cross-border transactions.
- Interest in business development and networking within the Scottish market.
