The Role
The Legal Associate role is a varied and dynamic position supporting ThirdWay Partners across a broad range of legal, compliance and governance matters. The successful candidate will provide legal support to Internal, Advisory and Asset Management teams on a range of mandates, while also acting as a key legal resource to the wider business on internal legal, commercial and regulatory matters. The role will involve supporting legal aspects of transactions, corporate governance, compliance, commercial contracting and legal risk management, ensuring the firm operates in line with applicable legal and regulatory requirements while delivering practical and commercially focused legal advice.
Main Duties and Responsibilities
- Supporting in providing legal advice and guidance on matters relating to corporate finance, private funds, asset management, financial regulations, ESG/SFDR and the firm's broader legal and commercial operations.
- Providing day-to-day legal support across the business, including drafting, reviewing and negotiating commercial agreements, advising on internal legal matters, corporate governance and regulatory compliance.
- Supporting the investment teams on all legal aspects of transactions, including drafting and reviewing transaction documentation, conducting legal due diligence and assessing legal risks.
- Assisting with fund formation, constitutional documentation and ongoing legal and regulatory compliance matters.
- Coordinating with internal stakeholders to meet legal, compliance and commercial deliverables across the firm.
- Working closely with portfolio companies and business teams to ensure compliance with applicable legal and regulatory requirements and providing legal support where required.
- Supporting the development, implementation and ongoing review of the firm's legal policies, governance framework and compliance procedures.
- Monitoring changes in relevant laws and regulations and providing practical guidance to the business on their impact.
- Actively identifying and managing legal and compliance risks, while driving best practice, continuous improvement and innovation across the firm's legal and compliance processes.
Essential Skills and Qualifications
- LLB or equivalent from an accredited law school with a strong academic record.
- Admitted to practise law in at least one jurisdiction. Multiple bar admissions or knowledge of both civil and common law is advantageous.
- Minimum of 3–5 years' experience working in a law firm or in-house legal department, with exposure to corporate/commercial law, financial services, private equity, investment funds or asset management.
- Strong understanding of corporate governance, regulatory compliance and commercial contracting.
- Experience drafting, reviewing and negotiating a broad range of legal documentation.
- Knowledge of laws and regulations relating to corporate finance, financial regulation, ESG/SFDR and sustainable finance is advantageous.
- Strong attention to detail and the ability to manage multiple projects simultaneously.
- Excellent stakeholder management, communication and negotiation skills.
- Exceptional analytical and problem-solving abilities with the ability to provide practical, commercially focused legal advice.
