Our client, a global blue-chip organisation, is seeking an experienced Company Secretary to take a senior position within its Corporate Governance/Company Secretariat team. This is a hands-on role for someone who wants to be genuinely embedded in the business - the ideal candidate is comfortable rolling up their sleeves and getting into the detail alongside leading on strategy and governance best practice.

You will work closely with in-house Legal, Compliance, Risk and Audit colleagues, as well as Treasury, Tax, Finance and Corporate Affairs, providing company secretarial support across a large and complex group structure, including on entity management, corporate reorganisations, rationalisations, M&A activity, and other major strategic projects.

Responsibilities
  • Acting as the senior company secretarial point of contact for a portfolio of entities within a large corporate group
  • Providing expert governance support and advice to senior stakeholders, including Boards and Committees
  • Leading on corporate secretarial workstreams for reorganisations, rationalisations, M&A and other significant corporate projects
  • Partnering closely with Legal, Compliance, Risk, Audit, Treasury, Tax, Finance and Corporate Affairs functions
  • Ensuring the highest standards of corporate governance and statutory compliance across the group
  • Bringing a solution-minded approach to complex governance challenges, and being willing to work at both strategic and operational levels
Qualifications
  • Chartered Company Secretary - Associate or Fellow of the Chartered Governance Institute
  • Minimum of 12 years' post-qualified corporate secretarial / governance experience; 15+ years strongly preferred
Required Skills
  • A senior, credible presence within a company secretariat function, with the gravitas to engage confidently with senior stakeholders, Boards and Committees
  • Strong working knowledge of relevant company law and corporate governance codes
  • A genuinely solution-oriented mindset - someone who is as comfortable getting into the detail as they are advising at a senior level
  • Excellent communication and stakeholder management skills
