Our client is a leading venture capital firm investing across Europe, backing high-growth technology and innovation-led businesses at multiple stages of growth. The firm has a strong and consistent investment track record and works closely with its portfolio companies to support their growth, providing access to networks, operational expertise, and follow-on capital as they scale. The firm takes a responsible approach towards its portfolio companies, their people, its investors, and the wider ecosystem in which it invests.
The ideal candidate will have a strong academic background (A*/A and 2:1 or 1st Class) combined with approximately 1 year of relevant transactional experience at a premier law firm (US, Magic, Silver or International) or at a highly established business, preferably within financial services.
Key Responsibilities:- Supporting the legal team on the execution of venture financing rounds, including drafting and reviewing term sheets, subscription agreements, shareholders' agreements, and other transaction documents.
- Coordinating signature pages and completion mechanics across multi-party deals, including tracking conditions precedent and managing execution logistics.
- Conducting and assisting with legal due diligence on prospective investments, including data room review and diligence summary reports.
- Liaising with external counsel, co-investors, and portfolio company management throughout the deal lifecycle.
- Assisting with the preparation of board resolutions, consents, and other documentation required to give effect to completed transactions.
- Supporting post-completion filings and regulatory notifications arising from investment activity.
- Assisting with investor onboarding for new fund closings, including KYC/AML checks and subscription document review.
