Our client, a U.S. law firm, is seeking a Corporate Paralegal to join their transactional practice, supporting entity formation, corporate governance, M&A, and financing matters.
Responsibilities
- Prepare and manage formation documents, bylaws, operating agreements, and resolutions
- Support due diligence and manage closing checklists/closing sets
- Maintain minute books, cap tables, and entity filings across jurisdictions
- Draft ancillary transaction documents and coordinate UCC/regulatory filings
- Liaise with clients, opposing counsel, and vendors; support post-closing matters
Requirements
- 1+ years' paralegal experience at a U.S. law firm; Magic Circle or Silver Circle experience preferred
- Exposure to venture capital work (financings, startup formation, portfolio company support) highly preferred
- Strong organizational and communication skills; proficiency with iManage/DocuSign and cap table tools
- Bachelor's degree required
