What will you be doing?
We are a UK-registered charity that raises funds in the UK and Kenya to support programmes delivered in Kenya. Our Kenyan operations are delivered through a wholly owned Kenyan company limited by guarantee with its own Board of Directors and paid staff that has grown from serving 12 children to 80 with further plans for regional growth.
As a small volunteer‑led charity with no paid staff in the UK, our trustees play an active role in supporting the charity while providing effective governance and oversight.
This role acts as the Board's lead trustee for governance, risk and compliance matters, supporting the charity to maintain high standards of governance and ensuring that the UK Board receives appropriate guidance regarding activities, governance arrangements and the use of charitable funds in Kenya.
All trustees share collective responsibility for the governance and management of the charity. This role provides leadership and expertise in governance, risk and compliance matters on behalf of the Board.
The successful candidate will
- Act as the Board's lead trustee for governance, risk and compliance, providing leadership and advice on governance matters.
- Support the Board in fulfilling its responsibilities under charity law, regulation and good governance practice.
- Lead the development, maintenance and regular review of the charity's risk management framework and risk register.
- Help identify, assess and monitor strategic, operational, financial, governance and reputational risks, ensuring these are appropriately reported and managed.
- Review governance, compliance and risk information received from the Kenyan organisation, highlighting significant issues and providing appropriate challenge and assurance to the Board.
- Strengthen governance, accountability and oversight between the UK charity and the Kenyan organisation, supporting effective reporting, assurance and escalation arrangements.
- Help identify and address governance, compliance and risk management gaps as the charity grows, supporting the development of proportionate policies and processes.
- Work collaboratively with fellow trustees and colleagues in Kenya to promote effective governance, accountability and organisational resilience.
- Contribute fully to Board discussions, strategic decision-making and the collective governance of the charity as a trustee.
