We are supporting a Private Equity-backed professional services business undergoing a complex carve-out from a larger corporate structure. They are seeking experienced Interim Carve-Out Consultants to support the business through pre-Day 1 planning, diligence, and execution. This is a high-impact role requiring individuals who have operated in fast-paced, PE-led environments and can bring both strategic oversight and hands-on delivery.
Key Responsibilities
- Lead and support end-to-end carve-out initiatives, with a focus on pre-Day 1 separation planning.
- Deliver asset deal execution, ensuring clear identification and separation of assets, contracts, and operations.
- Drive carve-out due diligence (DD) workstreams, including commercial, operational, and financial components.
- Produce high-quality DD reports, presenting findings, risks, and mitigation strategies to senior stakeholders and investors.
- Support Day 1 readiness planning, including TSA requirements, operating model design, and risk management.
- Work closely with PE sponsors, portfolio leadership, and functional teams to ensure timely delivery.
Required Experience & Capability
- Carve-Out & Transaction Experience: Demonstrable experience supporting carve-outs in a Private Equity or corporate M&A environment. Strong exposure to asset deals, particularly in pre-Day 1 carve-out planning. Ability to navigate complexities around asset separation, legal structures, and transitional arrangements.
- Due Diligence (DD) Expertise: Proven track record in delivering carve-out due diligence, ideally across multiple transactions. Hands-on experience writing DD reports, including clear articulation of risks and value levers, commercially focused insights for investors, and structured, concise reporting under tight timelines.
- Functional & Delivery Skills: Strong programme delivery capability across finance, operations, and technology workstreams. Comfortable operating in ambiguous, fast-moving environments with senior stakeholder exposure. Highly analytical with excellent communication and stakeholder management skills.
