Role purpose: The International Tax Manager will be supporting the Group International Tax Manager to meet strategic tax objectives for the Group with key stakeholders and tax advisers, including tax efficient financing, intra-group reorganisations, and M&A tax due diligence and structuring across Ardonagh Platforms in the UK, Europe, APAC and Iberia regions for business acquisitions. The position requires hands-on experience and strategic oversight, working with stakeholders such as local finance teams, legal teams, Group Tax and Treasury, advisers and senior Ardonagh Platforms management and working closely with the Transfer Pricing Manager and Group International Tax Manager.
Key responsibilities:
- Tax support for M&A activity including scoping and reviewing tax DD and structuring of transactions in line with Group tax strategy with support from the Group International Tax Manager.
- Management of engagement of external tax advisers (scoping support and review of advice) to provide central oversight of tax advice provided to Platforms to ensure it is adequate and consistent with the tax risk appetite in relation to refinancing, PE risk and restructuring.
- Collaborating with the Group Tax compliance and reporting team throughout the quarterly and year end process and auditors’ questions in relation to acquisitions, refinancing and reorganisations throughout the year.
- Partnering with the Transfer Pricing manager, highlighting risks of intercompany transactions across the Group and implementation of transfer pricing policies on intercompany transactions.
- Providing guidance and support to the Platforms finance teams with their cash tax forecasting process.
- Monitoring changes to tax legislation to ensure any changes to tax law which affect Ardonagh are identified and assessed for their impact, including the impact on any existing structures.
- Business Partnering with M&A, finance, HR external tax advisers, legal, treasury and Group Tax teams.
Qualifications and experience:
- Professional tax or accounting qualification.
- 7-10 years experience managing tax governance and advisory projects, ideally in PE backed or financial services environment for a large multinational group.
- Experience managing tax external advisers and multi-jurisdictional tax oversight.
- Experience with transfer pricing, tax accounting and cross-border tax structuring.
- Background in insurance or FS not essential but a bonus.
