Representing a leading independent investment bank, we are proud to be leading the search for a Vice President and Assistant General Counsel. This newly created role will lead drafting, review, and negotiation of transactional and commercial agreements in a deal-driven environment. This is a pivotal role offering the opportunity to influence culture, build processes, and drive performance.
As the Vice President and Assistant General Counsel, you will be responsible for:
- Engaging directly with investment bankers, corporate functions, and senior management to provide pragmatic legal support
- Drafting, reviewing, and negotiating deal-related agreements, including engagement letters, NDAs, and access letters
- Supporting a high-volume transactional environment with timely, solution-oriented advice
- Drafting and negotiating a broad range of commercial contracts, including vendor, consulting, licensing, and events agreements
- Assisting with compliance processes such as conflicts review, KYC, and other regulatory requirements
- Driving adoption of technology and AI tools to enhance legal workflows, efficiency, and scalability
To be successful in this role our client is looking for a:
- JD and admission to practice in New York State
- Strong drafting, negotiation, and analytical skills with proven ability to operate independently
- Excellent written and verbal communication skills with strong attention to detail
- Ability to work effectively in a fast-paced, deal-oriented environment
- Forward-thinking mindset with interest in leveraging legal technology and AI tools
- Strong commercial judgment and ability to deliver practical legal advice
