Our client would like to employ a corporate legal counsel on a 6-12 month FTC basis. This is an urgent requirement which will need the ability to start immediately.
The role will include supporting due diligence activities and working with a magic circle law firm and the General Counsel in a professional, discrete and proactive manner to ensure the project keeps to tight timelines. The key duties of the role will include:
- Supporting the General Counsel with Vendor Legal Due Diligence and a potential group restructuring of certain businesses.
- Working through the Information Request List.
- Sourcing the applicable information from approved contacts within the Group.
- Populating the Virtual Data Room with sourced information.
- Ensuring materials are complete and indexed correctly in the VDR.
- Managing the follow-up Q&A inquiry process on the Legal Due Diligence, tracking the responses, liaising with external counsel and updating the Q&A register.
- Supporting the business mapping work and pre-sale re-organisation.
- Generally supporting deal execution as and where needed.
There may also be room and capacity for you to support the wider business and stakeholders with general commercial legal matters. This may be an administrative-heavy role but a crucial one for the business and it does require a corporate solicitor with 2-5 years PQE (UK or other Jurisdiction) to confidently manage and support the General Counsel with these activities.
