Taylor Root is retained by a Small-Cap manufacturer and supplier within the global beverage, food and fragrance market. They are looking to appoint a General Counsel & Company Secretary in a newly created, broad executive role. Our client is open to experienced or step up candidates looking for their next career move.
About the Role
Acting as a trusted advisor to the CEO and Board, you will provide comprehensive legal support and strategic direction across all areas of the business globally. You will influence key business decisions as they look to grow in the UK and internationally.
Key responsibilities
General Counsel
- Proactively support the business’ goals through strategic and practical legal and governance advice.
- Horizon scanning and conducting legal research on various issues affecting the business.
- Provide general legal support including commercial contracts, corporate governance, regulatory compliance, and litigation.
- Lead on complex legal matters impacting various areas of the business in the UK and globally.
- Effectively manage standard contracts ensuring consistency and efficiency for the business.
- Handle claims and disputes for and against the company.
- Liaise with and manage external legal advisors, ensuring effective legal support.
Company Secretary
- Oversee the governance and provision of company secretarial services for all group companies ensuring that all statutory filing requirements are made across all jurisdictions.
- Responsibility for the legal compliance of all group companies, including compliance with Listing Rules and Companies Act, Disclosure Guidance and Transparency Rules and Market Abuse Regulations.
- Monitor changes in legislation and governance, implement appropriate policies and procedures to ensure compliance and provide technical updates to the Board.
Who You Are:
- Ideally you will be 10-15 PQE with experience in both private practice and in-house roles.
- Company secretarial experience in a public company, ideally FTSE SmallCap, AIM listed or similar environment.
- Extensive experience in commercial contracts, corporate governance, regulatory compliance and litigation matters.
- Be comfortable balancing high-level strategic advice with practical execution.
- Excellent communication, collaboration, and influencing skills with a range of stakeholders including Chairman, Board and ExCo.
- Self-starter with ability to work with autonomy.
- Entrepreneurial and results-oriented with a ‘get things done’ attitude.
