My client is a fast-paced global media company who are looking to appoint a highly organised and detail-oriented Corporate Paralegal to support the legal team in helping to manage a portfolio of entities for the group.
This is a newly created role in a small legal team where you will manage your own workstreams and be given lots of autonomy.
Responsibilities
Assist with the formation, maintenance, management, and dissolution of legal entities across the group.
Manage Companies House and other governance related filings and corporate records checks.
Working closely with international corporate service providers to manage and maintain non-UK entities.
Maintain and update corporate records and organisational documents across the group.
Track key deadlines and filings, including annual reports and other regulatory obligations.
Maintain and update organisation charts for the group entities and other entity data.
Ensure compliance with internal governance policies and external regulatory requirements.
Assist with updating and maintaining organisational charts for the group’s entities.
Preparing and drafting board minutes, written resolutions and other corporate governance related documents and liaising with overseas counsel where relevant.
Supporting management of the cap table.
Working closely with finance and tax teams.
Candidate Profile
Minimum of 1-2 years of experience as a corporate paralegal
Proficiency in UK legal entity management. Exposure to and experience in US legal entity management is desirable.
Strong understanding of corporate governance, entity formation processes, and compliance requirements.
Experience working with complex organisational structures.
Strong communication and drafting skills with the ability to work autonomously and reliably within tight timeframes.
Strong IT skills in Word, Excel and Power‑Point.
You will be methodical, have great attention to detail and take pride in moving work to completion.
You will have excellent time management and organisational skills and will be able to, and enjoy, working concurrently on a variety of projects, effectively prioritising and working under demanding deadlines whilst remaining “cool and calm” and very importantly, showing a good sense of humour.
Experience of working equity management software is desirable.
Experience working with Tax, Treasury, Accounting, Finance, M&A and other corporate functions is a plus.
