My client are a leading UK transport provider who are looking to appoint a Company Secretarial Assistant to join their legal team.
Reporting to the Head of Legal and Deputy Company Secretary, the role will assist in coordinating company secretariat and governance activities within the organisation.
Key responsibilities:
- Assist with the application of the Companies Act and related legislation/regulations in the UK including filings at Companies House and appointment and resignation of directors.
- Support the preparation of the governance statements in the annual reports for Corporate Centre legal entities, including Section 172 statements, Wates Corporate Governance statement and the Directors Report.
- Support to other legal entities, including the compilation and distribution of Board packs and minute taking.
- Assist in maintaining statutory registers and records for their UK entities.
- Keep abreast of changing company and corporate law and other regulatory requirements in the UK and corporate governance practice generally (including in regulatory bodies and the professions).
- Provide company secretarial support on corporate projects.
- Assist in respect of arranging execution and notarisation and assisting with KYC and/or corporate information requests.
- Support for Group treasury in relation to approvals for collateral documentation.
Candidate requirements:
- Strong experience in a company secretariat team, with a strong understanding of the Companies Act and the UK Corporate Governance requirements.
- Ability to work effectively within a complex matrix organisation and build strong working relationships with teams across multiple jurisdictions.
- An active advocate of good corporate governance.
- Strong analytical skills and excellent written and verbal communication skills.
- Attention to detail and a commitment to accuracy.
- High level of integrity, professionalism, and confidentiality.
- Good team player and a βcan doβ attitude.
- Experience with corporate governance software/platforms would be beneficial (e.g., Diligent Boards, Diligent Entities).
- Qualifications β A professional qualification from the Chartered Governance Institute (ICSA) or equivalent is desirable, or you could be working towards it.
