We are partnering with an elite corporate boutique law firm that is seeking to hire a Corporate Paralegal on a 12âmonth fixedâterm contract. This is an excellent opportunity to gain substantial exposure to highâlevel corporate matters and work closely with a team of lawyers who have trained and excelled at top international firms across M&A and private equity. While this is a 12âmonth FTC with no immediate plans for further progression, it offers a strong platform for individuals looking to build on their existing experience and deepen their exposure to corporate transactional work that you wouldnât get at larger firms across the market.
Responsibilities
- Support the drafting, review and organisation of transaction documents, including NDAs, SPAs, disclosure schedules, SHAs, management incentive plans, corporate approvals and other ancillary agreements.
- Coordinate all aspects of deal execution by managing signing and closing checklists, assembling signature pages and preparing closing sets/bibles.
- Oversee due diligence processes, including gathering documents, updating trackers, liaising with internal teams and foreign counsel, and preparing summaries of key issues.
- Maintain and update transaction trackers, cap tables, data rooms and other internal or client-facing workflow tools.
- Assist with Companies House filings and conduct financial and corporate information checks, ensuring the accuracy of corporate records.
- Communicate directly with clients, external counsel, counterparties and internal deal teams to facilitate efficient information sharing.
- Carry out legal and market research to support Associates on transaction-specific matters.
- Provide general administrative support, such as proofreading documents, preparing filings and managing deal-related correspondence.
Candidate Expectations
- Prior corporate experience in M&A or private equity at a leading City law firm is essential.
- Strong academic background, ideally with a law degree from a Russell Group university.
- Availability to start immediately or within a short notice period (maximum of one month).
