Responsibilities

  • Support the drafting, review and organisation of transaction documents, including NDAs, SPAs, disclosure schedules, SHAs, management incentive plans, corporate approvals and other ancillary agreements.
  • Coordinate all aspects of deal execution by managing signing and closing checklists, assembling signature pages and preparing closing sets/bibles.
  • Oversee due diligence processes, including gathering documents, updating trackers, liaising with internal teams and foreign counsel, and preparing summaries of key issues.
  • Maintain and update transaction trackers, cap tables, data rooms and other internal or client-facing workflow tools.
  • Assist with Companies House filings and conduct financial and corporate information checks, ensuring the accuracy of corporate records.
  • Communicate directly with clients, external counsel, counterparties and internal deal teams to facilitate efficient information sharing.
  • Carry out legal and market research to support Associates on transaction-specific matters.
  • Provide general administrative support, such as proofreading documents, preparing filings and managing deal-related correspondence.

Candidate Expectations

  • Prior corporate experience in M&A or private equity at a leading City law firm is essential.
