Overview
This is a contractor/ legal consultant position to support an operating partner within a well known PE firm to conduct asset transaction an carve-out project and set-up work for a global corporate business.
Contract duration will likely be 3-6 months.
Situation
- Carve-out of a mid-sized software business from large global corporate
- Asset deal work support (legal entity set-up and transfer preparation led by the buy-side, over the sign to close phase)
- Business operating in 15+ jurisdictions
Scope / Role
Global legal entity set-up and compliance to include but not limited to:
- Entity registration & documentation
- Cosec / registered address
- Legal requirements
- Tax registrations
- Statutory filings
- Tax compliance direct & indirect
- Payroll compliance
- Support design for target corporate stack, in coordination with advisors (lawyers, corporate service provider)
- Build detailed corporate stack set-up implementation plan, factoring in local lead-times
- Track implementation of the set-up plan during sign-to-close ; actively manage timing risks
- Map and track entity compliance status (legal, tax, filings, payroll..) and coordinate work with external partners and internal functions to fill gaps
- Be the single point of contact for the external corporate service provider
- Coordinate the work with the internal functions (Finance, HR, Legal)
- Centralise and organise the business data required to run the stack going forward (eg cosec docs, local vendors contacts, etc)
Experience Required
- Experience in legal entity set up and compliance
- Experience of carve out projects and the legal, risk and compliance work that comes with such projects
- Experienced solicitor with company secretarial experience and experience in corporate transactions/ asset transactions
- Excellent stakeholder management experience required
- Organisation and communication skillest to be a key strength
Day rate: Competative – use the above quoted rate as a likely guide
Start date: ASAP
