We are seeking an International Tax Manager / Senior Manager to join our new and growing team. You will advise large and listed businesses on complex cross-border matters, helping them navigate evolving international tax frameworks with clarity and commercial focus. We are seeking a Transactions Tax Manager / Senior Manager to join our growing team. You will advise large and listed businesses, as well as private equity clients, on the tax aspects of acquisitions, disposals, restructuring and refinancing. The role will involve leading tax due diligence, structuring transactions efficiently, identifying and quantifying tax risks, and supporting SPA negotiations. You will provide commercially grounded advice aligned with UK legislation and evolving international tax standards, including developments arising from the OECD's BEPS initiatives and Pillar Two framework. You will work closely with corporate finance, legal and international colleagues across our Global network on cross-border transactions, while also playing a key role in building and shaping our growing transactions tax practice in the UK. This is an opportunity to play a meaningful role in building a modern, conflict-free tax advisory firm - shaping workflows and working directly with senior leaders and high-profile clients in a dynamic, entrepreneurial environment.

Responsibilities

  • Lead buy-side and sell-side tax due diligence projects
  • Identify, assess and quantify tax risks and opportunities in target businesses
  • Advise on tax-efficient acquisition and disposal structures
  • Support SPA negotiations, including drafting and reviewing tax clauses and indemnities
  • Provide structuring advice on cross-border transactions and group reorganisations
  • Lead the firm in designing and adopting technology‑enabled ways of working, championing digital tools that enhance delivery and empower teams
  • Advise on refinancing, debt structuring and post-acquisition integration
  • Analyse developments in international tax reform, including BEPS and Pillar Two
  • Collaborate with international colleagues on cross-border deals
  • Build and maintain strong client relationships, including with private equity stakeholders
  • Contribute to business development initiatives and proposal preparation
  • Coach and develop junior team members
  • Play an active role in shaping the growth and strategic direction of the UK transactions tax practice

Requirements

  • CTA, ACA, CA, ACCA or equivalent professional qualification
  • Strong UK corporate tax technical expertise
  • Demonstrable experience in transaction tax and due diligence
  • Experience advising private equity or large corporate clients
  • Commercial mindset with the ability to assess risk and deliver pragmatic advice
  • Strong financial literacy and ability to interpret transactional documentation
  • Excellent written and verbal communication skills
  • Experience managing client relationships and junior team members (for Manager / Senior Manager level)
