About the role We are looking for a commercially savvy and proactive Commercial Legal Counsel to become a vital part of our EMEA legal team.
This position is crucial to our sales operations, serving as the primary legal advisor for our Sales, Solutions Engineering, and Partner teams across Europe.
You will thrive in a dynamic Saa S environment, where your expertise will be essential in navigating various legal matters.
Your primary responsibilities will focus on commercial contracts, including the negotiation of enterprise Saa S agreements, partner agreements, and procurement contracts.
You will also address issues related to data privacy, subsidiary governance, employment law, and the protection of intellectual property.

- Draft, review, and negotiate a substantial number of enterprise Saa S agreements, including Master Service Agreements (MSAs), Order Forms, Enterprise License Agreements (ELAs), Non-Disclosure Agreements (NDAs), Requests for Proposals (RFPs), Data Processing Agreements (DPAs), and Security Questionnaires.
- Serve as the main legal resource for Sales and Solutions Engineering, guiding deals from initial qualification through to final execution.
- Negotiate vendor, procurement, and professional services contracts to support business operations.
- Develop and manage contract templates, playbooks, and fallback positions to streamline and enhance the contracting process.
- Evaluate and identify risks in commercial transactions, providing clear and actionable advice to stakeholders regarding legal exposure and recommended actions.
- Collaborate with the channel and alliances team on partner, reseller, and technology alliance agreements, including co-sell, referral, and distribution arrangements.
- Provide legal guidance on data privacy matters, ensuring compliance with GDPR and related regulations.
- Engage in subsidiary governance and employment law issues, providing support to HR and management teams.
- Assist in the protection of intellectual property, advising on relevant legal strategies and compliance.

Requirements
- Juris Doctor or equivalent legal qualification recognized in your country of residence (e. g., solicitor, Rechtsanwalt, avocat, advogado).
- Approximately 5 years of post-qualification experience, with a significant portion acquired in-house at a technology, Saa S, or software company, or through advising such firms in private practice.
- Demonstrated experience in negotiating commercial contracts, particularly Saa S agreements and partner/channel structures, with the ability to act swiftly while ensuring quality.
- Strong knowledge of GDPR and practical experience in negotiating DPAs and data transfer mechanisms.
- Proficiency in English, both written and spoken, at a professional legal level.
- Capability to work independently in a fast-paced environment with multiple priorities and tight deadlines.
- Excellent communication skills, with the ability to simplify complex legal concepts for non-legal stakeholders.
- Nice to have
- Proficiency in an additional European language such as French, German, Portuguese, Spanish, Italian, or Dutch, which is particularly valued given our market presence.
- Familiarity with legal structures in partner ecosystems, including reseller, referral, Independent Software Vendor (ISV), Global System Integrator (GSI), or Original Equipment Manufacturer (OEM) agreements.
- Understanding of enterprise procurement processes, including workflows for RFP/RFQ responses and public sector contracts.
- Knowledge of legal considerations related to artificial intelligence, including the EU AI Act and emerging governance frameworks.
- Experience with legal technology solutions such as Ironclad, Juro, Docu Sign CLM, or Salesforce-integrated contract tools.
- Background in the contact center, CCaa S, or enterprise Saa S sectors is advantageous but not essential.
