We are supporting a major multinational group on a large-scale legal entity simplification and restructuring programme involving UK and UK-owned overseas entities across complex international group structures. This is not a standard tax compliance role. The focus of the work is practical legal entity simplification delivery – simplifying ownership structures, flattening ownership chains, restructuring holding and financing companies, reviewing historical entity structures, and supporting the implementation of restructuring activities across multinational groups. The environment is fast‑paced and delivery‑focused, with significant volumes of restructuring activity running in parallel. The client is specifically looking for a hands‑on UK corporate tax professional who has operated within complex restructuring or group simplification projects rather than purely managing BAU tax compliance or reviewing adviser output from a distance.
Key responsibilities
- Support legal entity simplification and restructuring activity across the UK and overseas subsidiaries
- Work through ownership chains, historic structures, foreign currency entities, intercompany balances and entity histories
- Support simplification of holding companies, financing entities and dormant/redundant subsidiaries
- Identify tax risks, restructuring blockers and implementation issues
- Support practical restructuring implementation and sequencing
- Coordinate with Legal, Finance, Treasury, Tax and external advisers across jurisdictions
- Ensure post‑implementation actions, filings and supporting documentation are completed properly
- Operate effectively within a fast‑paced multinational project environment
Key experience sought
- Strong UK corporate tax background
- Experience working on legal entity simplification, restructuring or entity rationalisation projects
- Exposure to holding companies, financing structures and multinational group entities
- Experience supporting practical restructuring implementation rather than purely advisory work
- Comfortable working through complex ownership structures and overseas subsidiaries
- Working knowledge of UK restructuring areas such as SSE, s171, degrouping and reorganisation provisions
- Hands‑on, delivery‑focused approach
This role will not suit candidates whose background is primarily BAU compliance, tax reporting, governance or broad tax oversight. This role is likely to suit someone from a multinational in‑house tax environment who has worked closely on restructuring, integration, or legal‑entity simplification programmes within complex international groups.
