The Challenge: Take‑Two Interactive Software, Inc.’s Legal Department, which supports Take‑Two’s network of companies and labels, including Rockstar Games, 2K, and Zynga, is seeking a corporate paralegal to assist the legal team with day‑to‑day corporate requirements, based in their office in London, UK. The paralegal will focus on corporate governance matters and the maintenance of corporate records, including contracts and corporate documents. The paralegal will work with legal and non‑legal personnel across multiple departments and report to the Vice President and Counsel, Legal.
What You’ll Take On:
- Assist the corporate team in the preparation and maintenance of key corporate documents/materials, including company formation documents, board minutes, and shareholder resolutions.
- Create and maintain corporate minute books, contract trackers and other corporate logs and memos.
- Assist in administering the contract and document execution process, including the signature, distribution and filing of material contracts and other important corporate documents for the team.
- Work directly with corporate services providers and outside counsel to maintain legal entities, including managing filings, such as annual accounts, director appointments, and powers of attorney.
- Responding to ad hoc requests for documentation & corporate information from members of the wider legal team and other non‑legal personnel.
- Work directly with the legal team and internal clients during corporate transactions and closings, including creating and managing virtual data rooms, assisting with due diligence, collating schedules and exhibits, and managing deal bibles.
- Assist in the preparation, negotiation and management of various agreements, including NDAs, services agreements, and review of simple terms and conditions and facilities‑type agreements.
- Assist the corporate legal team with research and prepare memos on findings.
- Perform certain administrative activities: maintaining files, photocopying and scanning, and couriering documents; organising appointments with notary publics for the notarization and apostilling of documents.
What You Bring:
- Bachelor’s degree and strong academic background.
- Ideal candidate is personable, enthusiastic, open to learning, collaborates well with others, has a positive attitude, and a good sense of humour.
- Ideally 1‑2 years of previous experience working as a corporate paralegal in a large law firm or in‑house.
- Experience of managing a high volume of detail‑oriented work and must possess strong time‑management skills.
- Excellent attention to detail, strong written and verbal communication skills, thorough follow‑up and good administrative and problem‑solving skills.
- Team player who can multi‑task and work well under pressure, with constantly changing priorities.
- Perform technical and clerical tasks that require accuracy and strong organizational skills.
- Must be Internet savvy, computer proficient and able to quickly learn new software applications related to document management; proficient with MS Office (Word, Excel, PowerPoint).
- Professionally interface with all levels of the organization, clients and vendors.
